• Eligibility: Clients must have $50K+ monthly revenue and multi-platform goals (see About Us).

• Delivery: Timelines vary by service; delays due to client inaction (e.g., missing data) are not our liability.

2. Client Responsibilities

• Accurate Info: Provide complete, accurate data (e.g., platform credentials, sales metrics) for service execution.

• Compliance: Ensure your use of our services complies with platform policies (e.g., Amazon TOS) and applicable laws.

• Payments: Pay invoices on time via Stripe; late payments incur a 1.5% monthly fee.

3. Fees & Payment

• Pricing: As quoted (Starter: $97/mo; Unlimited: $297/mo; Pro/SaaS: $497/mo). Usage-based fees (e.g., SMS, ads) apply.

• Non-Refundable: Custom work and third-party fees (see Refund Policy).

• Taxes: Client is responsible for applicable sales taxes.

4. Intellectual Property

• Our IP: Tools, AI algorithms, and templates remain our property; you receive a non-exclusive license for use during the service term.

• Your IP: You retain ownership of provided content (e.g., logos, product images); we claim no rights.

5. Confidentiality

• We protect your business data (e.g., sales, strategies) and only share with authorized partners for service delivery.

6. Termination

• By You: Cancel with 30 days’ notice (see Refund Policy).

• By Us: For non-payment, breach of terms, or illegal activity, with 7 days’ notice.

• Effect: Upon termination, access to our tools/services ends; data is deleted per Privacy Policy.

7. Liability

• Limitation: Our liability is capped at fees paid in the prior 6 months. We are not liable for indirect losses (e.g., lost profits).

• Third Parties: We are not responsible for platform downtimes, policy changes, or third-party tool failures.

8. Governing Law

• Jurisdiction: Governed by Texas, USA law; disputes resolved in Austin, TX courts.

9. Indemnity

• You indemnify us against claims arising from your misuse of our services or violation of platform/laws.
